What's going on?
Strategy, the Bitcoin treasury firm, filed a preliminary proxy to propose converting four equity securities - STRF, STRC, STRK and STRD - into pay-per-day payments.
Chief executive Michael Saylor said on Thursday, September 25[15] that the dividend would be charged every calendar day including weekends and public holidays and paid on the next business day with all other economic conditions of these shares remaining unchanged.
Important dates to keep an eye out for: "Monday, January 1st" and "February 2nd".
- October 5: A definitive proxy is issued.
- October 28: shareholders vote
- 1 November: STRC begins to use the new system for the first time, setting a record date of 1 November and paying its first installment on 2 November.
- January 1: The remaining three switches through with a final round of payouts on December 31.
Why is this important?
Currently, the STRC has a record date of 24 times per year. If all four bids pass, it will move to 365 days in a year. Chairman and CEO Phong Le said that for three companies paying monthly installments is an increase of 90 times.
Saylor explains why, "The way to create low leverage and high liquidity is by reducing the duration of financial instruments and rigorously managing credit". The more frequently adjusted, the lower the leverage becomes and the easier it will be for investors to get in or out.
The actual data is consistent, when STRC was paying monthly the price dropped by about 49 basis points on the day before payday after switching to quarterly in June this figure fell to around 36 basis points.
Le also called the proposal "the world's first annuity to pay interest on a daily calendar basis". If approved, the four stocks would be the only group of securities in the world that paid dividends on a 365-day compound basis among five global equities with an aggregate daily turnover and market value of $1 trillion.15,000
Equity is at the core of Strategy's funding philosophy.
This change is no small feat, as the four original shares are at the heart of Strategy's fundraising this month. The company purchased STRC for an additional $139 million with a temporary moratorium on bitcoin buying and capital reduction.2,000 Million dollars from selling MSTR shares to build up dollar reserves; in addition, there was a maximum Bitcoin sale framework.1,250
Last week, the company bought another $76 million worth of bitcoins, bringing its holdings close to a June high.
Investors appeared to be supporting the move earlier, as last June STRC holders approved a quarterly payment97.5% and common shareholders approved one.99.9% Since then Strategy has repaid STRC for a total of $255 million.
Does it work on anyone?
If you're a shareholder of Strategy or tracking the company's finances, this suggestion means more frequent cash flows and possibly higher prices. Strategy also expects additional benefits such as a stable end-of-month valuation for fund managers, an institutional surplus cash deposit, faster reinvestment, lower leverage, and better haircuts.
Le concludes with the company's philosophy that "digital credit, digital capital must work every day". The October 28 vote will be decisive.
A warning of danger.
